Welcome to ScrumChamps. These Terms of Service ("Terms") govern your use of the ScrumChamps website and application located at scrumchamps.com (the "Service"), operated by West 10 Tech (w10t.com), a W10 LTD company ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not use the Service.

1. Acceptance of Terms

By accessing or using ScrumChamps, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. You must be at least 13 years of age to use this Service.

2. Description of Service

ScrumChamps provides free, real-time collaborative tools for agile teams, including but not limited to:

• Planning Poker sessions for story point estimation using Fibonacci sequences
• Real-time voting and vote revelation for distributed teams
• Story management and tracking within estimation sessions
• Collaborative room-based sessions with shareable room links

The Service does not require account creation. Users participate by entering a display name and creating or joining a room. Session data is temporary and exists only for the duration of an active room.

3. User Conduct

When using ScrumChamps, you agree to the following:

• Lawful Use — You will use the Service only for lawful purposes and in accordance with these Terms.
• Respectful Behavior — You will not use offensive, abusive, or inappropriate display names, room names, or story titles.
• No Interference — You will not attempt to interfere with, compromise, or disrupt the Service, its servers, or any connected networks.
• No Automated Access — You will not use bots, scrapers, or other automated means to access or interact with the Service without our express written permission.
• No Reverse Engineering — You will not attempt to decompile, reverse engineer, or extract the source code of the Service, except as permitted by applicable law.
• No Malicious Content — You will not submit or transmit any content that contains viruses, malware, or any other harmful code.

4. Intellectual Property

The Service, including its design, features, content, and underlying technology, is owned by West 10 Tech (w10t.com), a W10 LTD company, and is protected by copyright, trademark, and other intellectual property laws.

• ScrumChamps Brand — The ScrumChamps name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of W10 LTD. You may not use these marks without our prior written permission.
• Your Content — You retain ownership of any content you create within the Service (such as room names, story titles, and descriptions). By using the Service, you grant us a limited, non-exclusive license to process this content solely for the purpose of providing the Service.
• Feedback — If you provide us with suggestions, feedback, or ideas for improvements, you grant us an unrestricted, perpetual license to use such feedback for any purpose without compensation to you.

5. Service Availability and Modifications

We strive to keep ScrumChamps available and reliable, but we do not guarantee uninterrupted access to the Service.

• We may modify, suspend, or discontinue any part of the Service at any time without prior notice.
• We may perform scheduled or unscheduled maintenance that may temporarily affect availability.
• Session data may be lost due to server maintenance, technical issues, or room expiration. ScrumChamps is not responsible for any loss of session data.
• We reserve the right to add, change, or remove features at our sole discretion.

6. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that: (a) the Service will meet your specific requirements; (b) the Service will be uninterrupted, timely, secure, or error-free; (c) the results obtained from using the Service will be accurate or reliable; or (d) any errors in the Service will be corrected. You use the Service at your own risk.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WEST 10 TECH LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

• Your use of or inability to use the Service
• Any unauthorized access to or alteration of your data
• Any third-party conduct on the Service
• Loss of session data or estimation results
• Any other matter relating to the Service

Our total liability to you for any claims arising from or related to the Service shall not exceed the amount you paid to us (if any) in the twelve (12) months preceding the claim. Since ScrumChamps is currently offered free of charge, this means our maximum liability is zero dollars ($0).

8. Indemnification

You agree to indemnify, defend, and hold harmless W10 LTD and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of a third party; or (d) any content you submit through the Service.

9. Third-Party Content and Advertisements

The Service may display advertisements provided by third-party ad networks, including Google AdSense. We are not responsible for the content, accuracy, or opinions expressed in third-party advertisements, and such content does not reflect our views. Your interactions with third-party advertisers and any terms, conditions, warranties, or representations associated with such dealings are solely between you and the third party. 10. Termination

We reserve the right to terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms.

Upon termination, your right to use the Service will cease immediately. Since we do not maintain user accounts, termination may include blocking your IP address or other technical measures. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the federal or state courts located in Miami-Dade County, Florida, and you consent to the personal jurisdiction of such courts.

12. Severability

If any provision of these Terms is held to be unenforceable or invalid by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible, and the remaining provisions of these Terms will remain in full force and effect.

13. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and W10 LTD regarding the use of the Service. These Terms supersede any prior agreements or understandings, whether written or oral, regarding the Service.

We reserve the right to modify or replace these Terms at any time at our sole discretion.
